This notice of termination of contract under the force majeure clause of a commercial contract is designed to be used to terminate the contract if one party continues not to perform its contractual obligations after the duration specified in the force majeure clause following serving a notice in this regard.

This template assumes that the force majeure clause in the underlying contract gives one party the right to terminate the contract without liability if the other party’s failure to perform due to force majeure continues beyond a specified waiting period. It also assumes that the waiting period begins on the date that the notifying party sends its initial force majeure notice. The notifying party must deliver and date this notice after the last day of the waiting period, otherwise, it risks a breach of contract if it sends this notice before the end of the waiting period.
