FEES AND SERVICES
- Kanoony hereby agree to provide its Services to Client and/or the Company in accordance with these Terms and Conditions and in consideration of the Fees.
- The Services shall commence only upon receipt of payment by Kanoony. Payment can be made by:
- Cash payment in AED or in USD;
- Wire transfer payment can be made into our following accounts:

- Payments made in cheques will only be accepted if (i) the cheque is drawn on a bank licenced to operate in the UAE, (ii) payable in AED and issued in favour of KANOONY CORPORATE SERVICES PROVIDERS L.L.C subject to approval.
- Payments can be made with Master, Visa and Amex credit or debit cards for which Point of Sales (POS) Fee will apply.
- Payments via instalments are subject to availability and approval and additional fees may apply. The Client and/or the Company must provide an undated security cheque in the name of KANOONY CORPORATE SERVICES PROVIDERS L.L.C in the amount of the total outstanding.
- Kanoony reserves the right to amend the Fee structure. Every endeavour shall be employed to provide all such notices to the Client and/or the Company’s registered email.
- Should the Client and/or the Company fail to settle any Invoice by the due date, the Client and/or the Company authorises Kanoony to set off any outstanding fees against any account, monies or property under the control of Kanoony in which the Client and/or the Company possess a legal or beneficial interest and whilst such Fees remain outstanding, Kanoony shall have a lien on any papers, books or records and any/or all assets of the Client and/or the Company which are in the possession or under the control of Kanoony. Additionally, services extended to the Client and/or the Company with an outstanding balance shall be suspended until such time that all outstanding payments have been cleared. If a security cheque is provided, then Kanoony reserves the right to encash such security cheque. Kanoony reserves the right to take appropriate actions to recover any dues owed by the Client and/or the Company.
- Furthermore, in such an event where the Fees and costs incurred as a consequence of defaulted payment by the Client and/or the Company are unrecoverable by the encashed security cheque or otherwise, Kanoony reserves the right to escalate such defaulted payment cases to the Govern- ment and/or the Authorities that may result in Company De-registration including a formal complaint against the Client and/or the Company by involving the relevant authorities.
- The Client and/or the Company authorizes Kanoony to disclose only material information relevant to the Client and/or the Company to external debt recovery agencies within or outside the United Arab Emirates or other third parties to the extent these agencies or other third parties need to know such material information, are informed of the confidential nature of that material information and are bound to an according non-disclosure-agreement.
- The Client and/or the Company shall remain liable to pay to Kanoony all Government Fees and other disbursements payable to third parties by the Client and/or the Company. Kanoony will not be required to refund any amount paid by the Client and/or the Company unless the Service for which such amount is paid were not completed due to Kanoony’s misconduct.
- After prior written notice of the Client and or the Company, the Client and/or the Company undertake that Kanoony may assign part or all the Services to third parties on behalf of the Client and/or the Company without any liability on the part of Kanoony. If there is a rejection from the immigration authorities, Kanoony reserves the right to charge an administration fee of 10% or more unless otherwise stipulated and agreed.
- Should the Client and/or the Company withhold, intentionally or uninten- tionally, information on previous local or international court, police, absconding or other cases which cause the rejection and also, should the Client and/or the Company fail to provide the required documents in order to obtain the license and/or residence visa, or fail to proceed with the license setup for any reason upon receipt of payment acknowledged by Kanoony no refund shall be applicable.
- All refundable deposits paid to Kanoony must be claimed within three (3) months and Fees paid to Kanoony must be claimed within twelve
- (12) months post availability date otherwise the funds will be forfeited.
- The Client and/or the Company acknowledge that Kanoony shall not, without prior written agreement, be required to refund any Fees. This includes cases in which:
- The Client and/or the Company have paid Fees for annual Services and decide to de-register the Company prior to the end of the relevant annual period;
- The application for a Trade License or Immigration Card gets rejected, delayed or contains any errors, by the Authorities, any associated fines or penalties are the sole responsibilities of the Client and/or the Company;
- The application for a UAE Residence Visa gets rejected by the Authorities, any associated fines or penalties are the sole responsibility of the Client and/or the Company.
- The Client and/or the Company hereby appoints and duly authorises Kanoony as its sole agent for license incorporation, submitting visa applications, renewals, amendments and other related transactions and de-registration services. Tenure of the Services is on an annual basis and Services are annually renewed. Should the Client and/or the Company wish to terminate the services and/or cancel the license and all associated visas, the Client and/or the Company shall give a written notice to Kanoony no later than one hundred and twenty days (120) prior to the end of the respective contract year or to the date of expiry of a Trade License. Failing to do so, the Client and/or the Company shall be deemed to have accepted the renewal of the annual Services and shall be liable for the payment of such Services in full at the latest applicable listed price. AED Seven Thousand and Three Hundred and Fifty (AED 5,250) shall be stipulated on Termination of Services.
- Kanoony reserves the right to refuse to accept instructions from the Client and/or the Company, and/or to discontinue the provision of Services and to terminate this Agreement by written notice without giving any reasons in the event that:
- Should the Client and/or the Company fail to comply with this Agreement, or fail to pay the due amount, or the information given is found to be false, untrue or misleading;
- Should the Client and/or the Company’s businesses be associated with money laundering, terrorist activities and/or transactions with jurisdictions with UN embargos or activities on any other watch lists for illegal activities;
- The Client and/or the Company are suspected to be involved in any criminal or other illegal activity, whether fiscal or otherwise, in any jurisdiction, or convicted of a criminal offence (except minor offences/infractions);
- The Client and/or the Company are declared bankrupt or are the subject of an investigation by government, professional, regulatory or statutory body in any jurisdiction;
- The Client and/or the Company have transferred funds to a Company which is not properly declared for tax purposes and the full amount of such funds or parts of it represent the proceeds of fiscal crime or evasion;
- Kanoony is required to do so by the Authorities, and professional or other regulatory or statutory body.
- The Client and/or the Company hereby appoint and duly authoris- es Kanoony exclusively as the Client’s and/or the Company’s registered agent for the purposes of the following transacting services on Client’s and/or the Company’s behalf: License incorporation, submitting visa applications, renewals, amendments, corporate tax/VAT registration and other related transactions and de-registrations services.
- Should Kanoony wish to discontinue the provision of Services and terminate this Agreement by written notice, the Client and/or the Company acknowledge that the Client and/or the Company shall remain liable for payment of all outstanding Fees until the effective date of the end of the contractual relationship between the client and / or the company and Kanoony.
- Without prior written agreement, Kanoony will not pay interest on any monies held by or on behalf of the Client and/or the Company.
- Unless otherwise stipulated, all prices referred to in this Agreement, Kanoony’s associated price list, Fees, charges, rates and quotations are indicated as exclusive of VAT. Accordingly, Kanoony shall be entitled to add VAT and any other applicable tax, at the applicable rate.
OTHER PROVISIONS
- Should the Client and/or the Company wish to independently manage the provision of services with the Government directly, a fee of AED Five Thousand Two Hundred and Fifty (AED 5,250) shall be stipulated.
- Communication in relation to the administration of the Company, including annual invoices, may be sent by email. The provision of this clause survives the termination of this Agreement or de-registration.
- In accordance with the Data Privacy Regulations, the Client and/or the Company authorise Kanoony to provide any information or data relating to the Client and/or the Company or beneficial owners to the Authorities or other regulatory bodies if/when required by any local, federal or internation- al law.
INDEMNIFICATION
- Kanoony may, at its discretion, agree to act on any request or instruction given otherwise than in writing but in either case Kanoony shall not be liable in respect of any error or omission occasioned in processing such instruction or request particularly those arising from errors of transmission or misunderstanding or non-receipt of instruction, unless Kanoony violated an essential contractual obligation. In this case, Kanoony's liability is limited to the total amount actually paid by the Client and/or the Company to Kanoony during the year in which the claim arose.
The Client and/or the Company shall have no further claim whatsoever against Kanoony in respect of anything done or omitted to be done or in respect of any exercise of any discretion unless the same shall involve dishonesty.
- Kanoony, being liable for breach of contract, negligence or any other liability arising under or in relation to this Agreement, unless such liability cannot be excluded under the laws of the UAE;
- Kanoony’s failure to provide Services for a reason outside of its control;
- Any malfunction or delays associated with provision of Services related to Trade Licenses and/or Residence Visas;
- Any delays, whether or not they result in fines, business loss or any other any failure, delay and/or inconsistency in providing any PRO services in the United Arab Emirates that are observed by any PRO, Authori- ty and/or Government, including the event that any documents are misplaced or destroyed; and any other consequence, caused by security checks that are conducted at the sole discretion of the Authorities or the Government.
- You agree that your use of Kanoony’s Services will be at your sole risk, We disclaim all warranties, express or implied, in connection with our Services and your use thereof, including, without limitation, the implied warranties of fitness for any purpose.
- Kanoony shall not be liable for any loss or damage including without limitation, indirect or consequential loss or damage, or any loss or damage whatsoever arising from any cause but not limited to loss of data or profits or income arising out of, or in connection with, the use of any Services.
- Kanoony will not be responsible for claims, expenses, damages or liabilities arising out of the use of our Services nor for the negligence or wrongful acts or omissions of any other party or that other party’s agents, servants or employees in connection with the provision of our Services.
- (iii) For the avoidance of any doubt Services include any and all of the following:
- Bank account opening
- Health insurance
- Compliance services
- VAT and Tax Consultancy
- Accounting and Payroll
- Legal Support Services
- Golden Visa
- Will registration
- PRO Services,
- and any other service not specifically listed but which we may offer as a value- added service, The Client uses Kanoony Services subject to the indemnification above and the absence of any liability by Kanoony for any cause whatsoever.
- The Client and/or the Company hereby undertakes that the brochure of Kanoony is solely for representation purpose and does not purport to be legal or other professional advice. The Client and/or the Company hereby acknowledge that the brochure of Kanoony is not a commitment to perform any services to the Client and/or the Company.
- Kanoony has internal anti-bribery and anti-corruption procedures and any violation of it by the Client and/or the Company may it be in termination of this Agreement by Kanoony without prejudice to any legal or other rights or remedies which Kanoony may have under law.
- For internal audit and/or compliance purposes of Kanoony and due diligence performed by the Freezones, the Client and/or the Company shall provide Kanoony with information about the background of the Client and/or the Company and any other beneficial owners, their sources of funds and business of the Company.
- The Client and/or the Company will inform Kanoony about any change to the beneficial ownership of the company in due time in writing.
- Kanoony shall be entitled to amend these Terms & Conditions and associated Fees and price lists in its sole discretion as appropriate. Every endeavour shall be employed to provide all such notices to the Client and/or the Company’s registered email.
- The Client and/or the Company acknowledges that this Agreement contains the whole Agreement between Kanoony and the Client and/or the Company. Any oral representations are specifically excluded unless the same are agreed in writing between Kanoony and the Client and/or the Company.
- This Agreement shall be governed by the laws of the United Arab Emirates. Any dispute in relation to the validity, interpretation or application of the provisions of this Agreement shall be finally and conclusively resolved by arbitration under the Dubai Courts.
- The venue of arbitration shall be in Dubai, United Arab Emirates and the language of arbitration shall be English. The arbitration shall be conducted by three (3) arbitrators who shall be selected by the Dubai Courts from amongst the Resident Partners of the top five (5) International Law Firms practicing in the United Arab Emirates.
- The parties hereby reserve the right to commence proceedings and/or to commence and/or enforce execution proceedings against the Client and/or the Company in Dubai Courts and/or any other court/competent jurisdiction that Kanoony may elect and consider appropriate.
- Each provision of these Terms and Conditions is severable and distinct from the others and if any provision is, or at any time becomes, to any extent or in any circumstances invalid, illegal or unenforceable for any reason that provision shall to that extent be deemed not to form part of these Terms and Conditions but the validity, legality and enforceability of the remaining parts of these Terms and Conditions shall not be thereby affected or impaired, and every provision of these Terms and Conditions shall be and remain valid and enforceable to the
- fullest extent permitted by the laws of the United Arab Emirates.
- Kanoony shall be indemnified from any failure to perform any obligation hereunder to the extent such failure is caused by a Force Majeure Event.
- A Force Majeure Event shall operate to excuse a failure to perform an obligation hereunder only for the period of time during which the Force Majeure Event renders performance impossible or infeasible and only if the Party asserting Force Majeure as an excuse for its failure to perform has provided written notice to the Client and/or the Company specifying the obligation to be excused and describing the events or conditions constituting the Force Majeure Event. As used herein, “Force Majeure Event” means
- the occurrence of an event or circumstance beyond the reasonable control of Kanoony failing to perform, including, without limitation, (a) explosions, fires, flood, earthquakes, catastrophic weather conditions, pandemic outbreaks (including COVID-19 and mutations thereof), or other elements of nature or acts of God; (b) acts of war (declared or undeclared), acts of terrorism, insurrection, riots, civil disorders, rebellion or sabotage; (c) acts of federal, state, local or foreign governmental authorities or courts; (d) labour disputes, lockouts, strikes or other industrial action, whether direct or indirect and whether lawful or unlawful; (e) failures or fluctuations in electrical power or telecommunications service or equipment; and (f) delays caused by the other Party’s non-performance hereunder.
EFFECTIVE DATE
Terms & Conditions herein stated shall become effective as of the issue date of this agreement.
DEFINITIONS AND INTERPRETATIONS
- “Agreement” means the Agreement between Kanoony and Client and/or the Company of which these Terms and Conditions shall form an integral part thereof.
- “AED” means the currency of United Arab Emirates.
- “USD” means the currency of the United States of America
- “Applicant” means any individual, corporation, firms, joint venture or any other entity duly organised.
- “Authority” means any government, semi-governmental, judicial, legislative, executive, administrative, or regulatory authority of the UAE.
- “Company” means any one or more companies in respect of which Kanoony provide Services at Client and/or the Company’s request.
- “De-registration” means license cancellation and all stipulations necessary to de-register and/or termination of services when applicable.
- “Fee” or “Fees” mean any sum charged by Kanoony together with disbursements and any and all fees levied by the Authorities.
- “Free Zone License” means a license issued by a United Arab Emirates based Free Zone Authority.
- “Invoice” means any bill or statement issued by Kanoony for any Fees stated therein in respect of any Service.
- “Service” or “Services” mean any company formation, corporate services or ancillary services whatsoever provided to a client or Applicant.
- “Terms & Conditions” or “T&C’s” mean these Terms & Conditions as they may be amended from time to time.
- “VAT” means Value Added Tax.

Kanoony Service Packages – Terms & Conditions
1. Introduction and Acceptance
1.1 Parties. These Terms and Conditions (the "Terms") govern the B2B service packages provided by Kanoony ("Kanoony", "we", or "us") to the business client (the "Client" or "you") purchasing a Kanoony Offshore, Kanoony Plus+, or Kanoony Premium package (each a "Package"). By subscribing to or using a Package, the Client agrees to be bound by these Terms.
1.2 Business Use Only. Kanoony’s services are offered exclusively to business clients for commercial use. By enrolling, you represent that you are a business entity or an individual acting in the course of business, and not a consumer using these services for personal purposes.
1.3 No Legal Advice or Representation by Kanoony. Kanoony is not a law firm and does not provide legal advice or legal representation. Nothing in these Packages or on our website shall be construed as legal advice. No attorney-client relationship is created between Kanoony and you by your use of our services. You agree and undertake to release and discharge Kanoony, its affiliates, subsidiaries, officers, directors, employees, and agents from any claims, demands, actions, damages, losses, costs and/or expenses, whether known or unknown, arising out of or in connection with your use of any information, or services provided by Kanoony. Furthermore, you agree to indemnify and hold harmless Kanoony, its affiliates, subsidiaries, officers, directors, employees, and agents from and against any direct or indirect claims, suits and proceedings and any and all related liabilities, losses, expenses, damages and costs (including, without limitation, reasonable attorneys’ fees) incurred by Kanoony and arising out of or relating to your use of such information or services (See Section 3 below for additional disclaimers).
2. Scope of Services Included in Packages
2.1 Description of Packages. Kanoony offers tiered service Packages that provide specified business support services and tools for a fixed subscription term. Each Package includes a defined scope of services and benefits, as summarized below. Services outside this defined scope are not included and may require additional fees (see Section 2.4).
2.2 Kanoony Offshore Package
This entry-level Package provides core business support for companies. Services included:
- Legal Templates Library: Access up to sixty (60) legal document templates per year from Kanoony’s digital library, including an NDA (Non-Disclosure Agreement) template and other legal documents.
- AI Legal Assistant ("AI Pocket Lawyer"): Access to kanoony’s AI-driven legal information tool for general informational Q&A, limited to 50 interactions. (See Section 3.3 for AI disclaimer.)
- Talk To A Lawyer: Up to twenty-four (24) consultations (15 minutes each) per year with a legal consultant via phone or video. Conflict of interest waiver apply.
- Dedicated Support: Access to a relationship manager for general support and service coordination.
- Company Formation Service: One business formation assistance in an RAK ICC, Ajman Offshore or ADGM SPV, with professional fees waived.
- Company Amendment: Unlimited company amendments such as but not limited to company name change, shareholder change, activity change, and others. Professional fees waived, government fees excluded.
- Corporate Tax Registration: Assistance with initial tax registration for your company, service fees waived.
- Corporate Tax Filing: Assistance with preparation and submission of annual corporate tax return, in accordance with UAE Tax regulations. The Client remains ultimately responsible for the accuracy of the information provided and for the final submission of the return. Government penalties, if any, are not included and shall be borne by the Client. This service may require cooperation with third-party tax advisors approved by kanoony. By using our services, you acknowledge and agree that we may share your information with third-party tax advisors as necessary to provide the services.
- VAT registration: Assistance with initial VAT registration for your company, service fees waived.
- VAT Filing: Assistance with preparation and submission of quarterly VAT returns in accordance with UAE Tax regulations. The Client remains ultimately responsible for the accuracy of the information provided and for the final submission of the return. Government penalties, if any, are not included and shall be borne by the Client. This service may require cooperation with third-party tax advisors approved by Kanoony. By using our services, you acknowledge and agree that we may share your information with third-party tax advisors as necessary to provide the services.
- Accounting & Bookkeeping: Basic accounting and bookkeeping support covering the recording and classification of up to ten (10) transactions per calendar month. All bookkeeping data and supporting documents must be provided by the Client in a timely and organized manner.
- Bank Account Opening Assistance: introduction to digital banking partners to support digital business bank account application. We do not guarantee the opening of the account, which is at the discretion of the bank and subject to UAE Central Bank Regulations and requirements. This service includes only the initial referral and does not involve hands-on support, follow-up or concierge-level assistance.
- Visa Assistance: One (1) visa application included for a company owner or employee. This includes step-by-step guidance and document preparation support. We do not guarantee obtaining the visa.
- Company Stamp: One (1) standard company stamp will be provided for you.
- Kanoony Newsletter: Included.
- Legal Translation: up to twelve (12) pages of legal documents translation. This includes official translation between English and Arabic and vice versa for standard business and legal documents such as contracts, resolutions, and corporate filings. All translation services are handled by qualified professionals or licensed third-party providers and include an official legal stamp of sworn translator recognized by the UAE authorities.
- Kanoony Plus Package
- This mid-tier Package includes all Essentials services (with higher limits or premium features) plus additional support. Services included:
- Legal Templates Library: Access up to sixty (60) legal document templates per year, including an NDA (Non-Disclosure Agreement) template and other legal documents.
- AI Legal Assistant: Access to kanoony’s AI-driven legal information tool for general informational Q&A, Limited to 100 transactions. (See Section 3.3 for AI disclaimer.)
- Talk To A Lawyer: Up to forty-eight (48) consultations (15 minutes each) per year with a legal consultant via phone or video. Conflict of interest waiver apply.
- Dedicated Support: Access to a relationship manager for general support and service coordination.
- Company Formation Service: One freezone business formation assistance, with service fees waived. Up to 2 shareholders and 3 activities.
- Company Amendment: Unlimited company amendments such as but not limited to company name change, shareholder change, activity change, and others. Professional fees waived, government fees excluded.
- Corporate Tax Filing: Assistance with preparation and submission of annual corporate tax return, in accordance with UAE Tax regulations. The Client remains ultimately responsible for the accuracy of the information provided and for the final submission of the return. Government penalties, if any, are not included and shall be borne by the Client. This service may require cooperation with third-party tax advisors approved by Kanoony. By using our services, you acknowledge and agree that we may share your information with third-party tax advisors as necessary to provide the services.
- VAT registration: Assistance with initial VAT registration for your company, service fees waived. Government fees excluded.
- Bank Account Opening Assistance: Concierge banking assistance included – we will actively assist in preparing documents and liaising with the bank to open your digital or conventional business account (service fee included in package). However, we do not guarantee the opening of the account, which is at the discretion of the bank and subject to UAE Central Bank Regulations and requirements.
- Visa Assistance: One (1) visa application included for a company owner or employee. This includes step-by-step guidance and document preparation support. –We do not guarantee obtaining the visa.
- Contract Review: Up to 4 documents per year (up to 3 pages each, 250 words per page) can be reviewed by our legal team or network of attorneys for feedback or general observations. (Approx. total review time up to 4 hours annually.)
- Legal Translation: Up to 24 pages per year of legal documents translation. This includes official translation between English and Arabic for standard business and legal documents such as contracts, resolutions, and corporate filings. All translation services are handled by qualified professionals or licensed third-party providers and include an official legal stamp of sworn translator recognized by the UAE authorities.
- Legal Notice Drafting: one (1) legal notice or formal letter drafted per year (in English or Arabic) included.
- Company Stamp: One (1) standard company stamp will be provided for you.
- Kanoony Newsletter: Included.
- Accounting & Bookkeeping: Basic accounting and bookkeeping support through a qualified and registered third-party service provider, covering up to twenty (20) financial transactions per calendar month. This service is intended for low-volume bookkeeping and does not include payroll processing, inventory accounting, or preparation of audited financial statements. Any additional transactions, complex accounting requirements, or requests beyond the defined monthly limit may incur additional charges, subject to prior approval. The Client is responsible for submitting all relevant financial documents in a timely and organized manner to ensure accurate recordkeeping. The accounting software used for recordkeeping will be selected and managed by the third-party provider in consultation with the Client, based on the business’s operational needs. By using our services, you acknowledge and agree that we may share your information with third-party providers as necessary to provide the services.
- Will Registration Assistance: One (1) Abu Dhabi will draft & registration assistance, not exceeding 6 manhours. Professional fees waived.
- 2.4 Kanoony Premium Package
- This top-tier Package offers a comprehensive list of Kanoony’s services with maximum allowances. Services included:
- Legal Templates Library: Access up to one hundred twenty (120) legal templates per year, including NDA (Non-disclosure agreement) and other contracts.
- AI Legal Assistant: Unlimited Access to kanoony’s AI-driven legal information tool for general informational Q&A, (same as above).
- Talk To A Lawyer: Up to ninety-six eight (96) consultations (15 minutes each) per year with a legal consultant via phone or video.
- Dedicated Support: Access to a relationship manager for general support and service coordination.
- Company Formation Service: One business formation assistance, with service fees waived. 5% market fees excluded for mainland setups.
- Company Amendment: Unlimited company amendments such as but not limited to company name change, shareholder change, activity change, and others. Professional fees waived, government fees excluded.
- Corporate Tax Registration: Assistance with initial tax registration for your company, service fees waived.
- Corporate Tax Filing: Assistance with preparation and submission of annual corporate tax return, in accordance with UAE Tax regulations. The Client remains ultimately responsible for the accuracy of the information provided and for the final submission of the return. Government penalties, if any, are not included and shall be borne by the Client. This service may require cooperation with third-party tax advisors approved by Kanoony. By using our services, you acknowledge and agree that we may share your information with third-party tax advisors as necessary to provide the services.
- VAT registration: Assistance with initial VAT registration for your company, service fees waived. Government fees excluded.
- VAT Filing: Assistance with preparation and submission of quarterly VAT returns in accordance with UAE Tax regulations. The Client remains ultimately responsible for the accuracy of the information provided and for the final submission of the return. Government penalties, if any, are not included and shall be borne by the Client. This service may require cooperation with third-party tax advisors approved by Kanoony. By using our services, you acknowledge and agree that we may share your information with third-party tax advisors as necessary to provide the services.
- Bank Account Opening Assistance: Concierge banking assistance included – we will actively assist in preparing documents and liaising with the bank to open your digital or conventional business account (service fee included in package). However, we do not guarantee the opening of the account, which is at the discretion of the bank and subject to UAE Central Bank Regulations and requirements.
- Visa Assistance: Two (2) visa application included for a company or owner or employee. This includes step-by-step guidance and document preparation support. –We do not guarantee obtaining the visa.
- Contract Review: Up to 12 documents per year (up to 6 pages each, 250 words per page) can be reviewed by our legal team or network of attorneys for feedback or general observations.
- Legal Translation: Up to 24 pages per year of legal document translation. This includes official translation between English and Arabic for standard business and legal documents such as contracts, resolutions, and corporate filings. All translation services are handled by qualified professionals or licensed third-party providers and include an official legal stamp of sworn translator recognized by the UAE authorities.
- Legal Notice Drafting: Up to two (2) legal notices/letters drafted per year (Eng/Ar) included.
- Company Stamp: One (1) standard company stamp included.
- Kanoony Newsletter: Included.
- Accounting & Bookkeeping: Basic accounting and bookkeeping support through a qualified and registered third-party service provider, covering up to 50 (fifty) financial transactions per calendar month. This service is intended for low-volume bookkeeping and does not include payroll processing, inventory accounting, or preparation of audited financial statements. Any additional transactions, complex accounting requirements, or requests beyond the defined monthly limit may incur additional charges, subject to prior approval. The Client is responsible for submitting all relevant financial documents in a timely and organized manner to ensure accurate recordkeeping. The accounting software used for recordkeeping will be selected and managed by the third-party provider in consultation with the Client, based on the business’s operational needs.
- Will Registration Assistance: One (1) Abu Dhabi will or mirror will draft & registration assistance, not exceeding 6 manhours. Professional fees waived.
- 2.5 Additional Services Outside Package. Any service or request beyond the scope or quantity listed for your Package (Sections 2.2–2.4) will be considered out-of-scope and subject to additional fees. For example, if you require more consultation sessions or additional document reviews beyond the included allotment, or services not listed (such as additional company formations, more visas than included, litigation support, etc.), Kanoony may offer such services at its standard rates or under a separate agreement. We will inform you of any such fees in advance, and no out-of-scope work will be done without your approval. Kanoony’s obligation is limited to the specific services expressly listed for your chosen Package.
- 3. No Attorney-Client Relationship; No Legal Advice
- 3.1 Not a Law Firm. Kanoony is not a law firm and no employees or agents of Kanoony are acting as your attorney. The legal support services provided (including document templates, general guidance, and consultations) are for informational and self-help purposes only. While the Packages offer access to legal information and assistance with legal processes, Kanoony does not provide formal legal advice, opinions, or representation in any court or legal proceedings.
- 3.2 No Attorney-Client Privilege. Using Kanoony’s services does not establish an attorney-client relationship between you and Kanoony. Any communications with Kanoony (including your relationship manager, customer support, or through our AI tools) are not protected by attorney-client privilege or confidentiality laws applicable to legal consultants and lawyer. Do not disclose confidential legal strategy or information expecting legal privilege in your communications with us. If you require privileged or confidential legal advice, you should engage a licensed attorney separately which Kanoony can facilitate.
- 3.3 Independent Legal Consultations. If your Package includes consultations with an independent licensed consultant or legal professional, you understand and agree that:
- Independent Providers: The attorneys or legal consultants available through Kanoony (“Independent Lawyers”) are third-party providers and not employees, agents, or representatives of Kanoony. Kanoony facilitates the consultation but does not control the advice given by these Independent Lawyers.
- Limited Scope: Any consultation provided is limited in time and scope (e.g. a 15-minute Q&A session). It is intended for preliminary guidance only and does not constitute comprehensive legal advice for any specific situation. The lawyer is not performing full legal research or becoming your ongoing legal counsel by virtue of these short consultations.
- No Ongoing Representation: The consultation does not create a continuing attorney-client relationship between you and the Independent Lawyer beyond the specific session. If you wish to engage that lawyer for further services, you must establish a separate engagement with them outside of the Kanoony Package.
- No Endorsement: Kanoony makes no warranties or endorsements regarding the quality or suitability of any Independent Lawyer’s advice. Any opinions or advice given are those of the Independent Lawyer, not Kanoony.
- Confidentiality with Lawyers: While the Independent Lawyer has a professional duty of confidentiality to you for the information you share during a consultation, you acknowledge that such initial consultations might not achieve full attorney-client privilege protection or conflict check processes due to their limited nature. You should avoid divulging extremely sensitive details until you formally engage an attorney.
- 3.4 Legal Information Only; Not a Substitute for Counsel. All information, content, and services provided by Kanoony (including AI-generated answers, template documents, guides, and support) are general legal information for your own use. They are not a substitute for advice from a qualified attorney who can consider your specific circumstances. Kanoony does not review the information you provide for legal accuracy or completeness and does not apply the law to your particular facts. You are solely responsible for how you use the templates or advice obtained through the service. If you have any doubts or complex issues, you should consult a licensed attorney outside of the Kanoony platform for independent legal advice.
- 3.5 AI Tools Disclaimer. If your Package provides access to Kanoony’s AI-powered legal assistant or any automated document drafting tools, you understand and agree that AI services are for informational purposes only. Such tools may provide quick answers or generate document drafts based on patterns, but they are not guaranteed to be accurate, complete, or suitable for your situation:
- No Professional Judgment: AI outputs do not involve a lawyer’s judgment or review. They may contain errors or outdated information. Always review and, if necessary, have a qualified professional vet any output from the AI before relying on it.
- Not Legal Advice: The AI responses are not legal advice. Using the AI assistant does not establish any attorney-client relationship. It is meant to assist with general questions and form preparation, under your direction.
- Client Responsibility: You assume full responsibility for any actions you take based on information from the AI tools. Kanoony disclaims any liability for outcomes arising from your reliance on automated answers or documents without further professional review.
- Use Limitations: Kanoony may impose reasonable use limits on AI services (such as rate limits or question quotas) to ensure system performance and fair usage. The AI tool should be used in good faith for your own business needs only.
4. Term of Service and Usage Period
4.1 Subscription Term. Each Package is sold as a subscription for a fixed term of twelve (12) months, unless a different term is expressly stated in your order or agreement. The subscription term commences on the date of purchase (or a later activation date if specified in writing by Kanoony) and runs for 12 consecutive months (“Term”).
4.2 Activation of Services. Some included services (e.g. company formation assistance, visa processing) may be rendered at the start of the Term or at a scheduled time during the Term, as coordinated between Client and Kanoony. Consultation and template services are available on-demand throughout the Term, up to the allowed limits.
4.3 Expiry of Term; Renewal. At the end of the subscription Term, your Package benefits expire. Unused services or allowances do not automatically roll over into the next period. Renewal for an additional term is not automatic unless explicitly agreed. To continue service for another year, the Client must renew the Package by entering a new agreement or paying the applicable renewal fee before or upon the current Term’s expiration. Kanoony may send renewal reminders with any updated terms or pricing. If you do not renew, all Package services will terminate at the end of the Term (with the exception of any separately purchased services that extend beyond the Term).
4.4 No Carry-Over of Unused Benefits. Each Term’s service allowances are discrete. Any consultations, document reviews, template accesses, or other services not used during the Term are forfeited at Term’s end. They will not be credited or carried over to a renewal term or any other package, unless otherwise agreed in writing by Kanoony. This policy ensures we can effectively allocate resources annually.
4.5 Upgrade During Term. If you find you need a higher level of service during your Term (e.g. more consultations or additional features), you may upgrade to a higher Package (e.g. from Essentials to Legal+ or Premium) by paying the pro-rated difference in fees, as offered by Kanoony. Upon upgrade, the higher Package’s remaining-term allowances become available, and any previously used services count toward the new limits. Downgrades (switching to a lower package) are generally not permitted mid-term.
4.6 Termination for Breach. Kanoony reserves the right to suspend or terminate your Package before the end of the Term if you materially breach these Terms (for example, misuse of services, non-payment, or violation of Section 3 limitations). In such case, no refund will be provided for unused time or services (see Section 6.3), and Kanoony may pursue any remedies available at law.
5. Service Usage Conditions and Limits
5.1 Fair Usage Policy. The services included in your Package are subject to the usage limits described in Section 2. Excessive or abusive use beyond those limits or use that is not for the intended business purposes of the Client, may result in suspension of that specific service or additional fees. Kanoony’s services are intended for the subscribed Client’s internal business use only; you may not share your Package benefits with unauthorized third parties or use them to provide services to others outside your own company.
5.2 Consultations Usage. Consultations with attorneys or legal experts included in your Package must be scheduled in advance and are subject to availability. Unused consultation sessions expire at the end of the Term (see Section 4.4). No single consultation can be carried over or split into multiple shorter sessions beyond what’s included (e.g., two 15-min sessions cannot be combined for a 30-min session without counting as two sessions). Cancellations or no-shows by Client with insufficient notice may count as a used session, at Kanoony’s discretion.
5.3 Document and Template Usage. The document templates and legal forms provided are licensed to you for use within your own business. You may customize and use them for your company’s transactions, but you may not resell, distribute, or republish Kanoony’s template documents to any third party outside your organization. If your Package includes a limited number of document reviews or legal notice drafts, each review/draft request will count toward your annual limit regardless of whether you ultimately use the output. Please ensure you consolidate your questions or drafting needs to make efficient use of each included review or drafting service.
5.4 Visa and Government Service Assistance. If your Package includes visa processing assistance or company formation, these services require your timely cooperation. You must provide all required information and documentation by specified deadlines. Included visa services cover the guidance and administrative support for the number of visa applications stated (per Section 2); additional visa applications beyond that number will incur extra fees. Dependent visa assistance (if included in Premium) covers administrative support for one dependent family member’s visa; it is only available after or in conjunction with a primary visa application. All government forms will be prepared based on information you provide, and you are responsible for verifying their accuracy.
5.5 . Accounting & Bookkeeping service is intended for low-volume bookkeeping and does not include payroll processing, inventory accounting, or preparation of audited financial statements. Any additional transactions, complex accounting requirements, or requests beyond the defined monthly limit may incur additional charges, subject to prior approval. The Client is responsible for submitting all relevant financial documents in a timely and organized manner to ensure accurate recordkeeping. The accounting software used for recordkeeping will be selected and managed by the third-party provider in consultation with the Client, based on the business’s operational needs.
5.6 Third-Party Services and Referrals. In the course of delivering services (e.g. bank account opening, notary appointments,), Kanoony may refer or introduce you to third-party service providers or government agencies. While Kanoony will facilitate these interactions, you understand that third parties control their own processes and decisions. You may be required to agree to separate terms or pay fees to those third parties. Kanoony is not responsible for the acts or omissions of any third-party service providers or government authorities, and use of those services is at your risk. We will use reasonable care in selecting referral partners but make no guarantee of outcomes (such as successful bank account opening or approval of applications).
6. Fees and Payment Terms
6.1 Package Fees. By purchasing a Package, Client agrees to pay the package fee specified for the selected Kanoony offshore, Plus, or Premium plan. Package fees are typically charged annually, upfront for the entire Term (12 months), or monthly. All fees are quoted and payable in the currency specified by Kanoony (e.g. UAE Dirhams) and are exclusive of any applicable value-added tax (VAT), which, if applicable, will be added at the prevailing rate. A 20% upfront payment will be deducted from the total package value, lowering the monthly instalments accordingly.
6.2 Payment Due Date.
The 20% upfront payment is due before service commencement, unless kanoony approves an alternate payment schedule in writing. Standard practice is upfront payment of the annual fee to activate the Package. If an installment plan or deferred payment is agreed (for example, through a third-party installment service or a quarterly payment arrangement), Client must adhere to the agreed payment deadlines. Kanoony may delay activation of certain services (such as company formation filing) until it has received the initial payment or any due installment.
6.3 No Refunds After Service Initiation. Once any service under the Package has been initiated or rendered, the package fee becomes non-refundable. This means that after we begin performing any included service (for example, after a consultation has been conducted, a document template has been accessed, the company formation process has started, or any work has been done on your behalf), you are not eligible for a refund of any portion of the package fee. This policy applies to early cancellation by the Client as well – e.g., If the Client terminates the Package within the first 6 months of service, the Client must pay 50% of the remaining package fee as an early termination penalty. If the Client terminates the Package after 6 months of service, the Client must pay an amount equivalent to 2 months’ fees as an early termination penalty.
6.4 Failure to Pay; Suspension. If any payment (including any installment) is not received by its due date, Kanoony reserves the right to suspend services under the Package. During suspension, you will not be able to utilize package benefits (consultations, etc.). Kanoony will provide notice of non-payment and a short cure period; if payment is not made within that time, Kanoony may terminate the Package for breach (see Section 4.6). The Client remains liable for any unpaid amounts for services already rendered.
6.5 Pricing Changes on Renewal. Package fees may be subject to change at the time of renewal. Kanoony will notify you of any price changes or modifications to services before you renew for a new term. If you do not agree to the new pricing or terms, you may choose not to renew (see Section 4.3).
7. Excluded Costs and Government Fees
7.1 Government and Filing Fees. Government-imposed fees, taxes, and third-party charges are NOT included in the Package fee, unless explicitly stated. You are responsible for paying all applicable government or regulatory fees related to the services. This includes, for example:
- immigration card fees, medical exam fees, Emirates ID fees, or any other costs payable to government or immigration authorities.
- Notary public fees, translation fees and court fees for notarization or legalization of documents.
- Any other disbursements or payments to third parties (government agencies, public registries, etc.) required to complete a service.
7.2 Payment of Third-Party Fees. When such fees are due, the Client must pay them directly to the relevant authority or reimburse Kanoony if Kanoony advances those fees on the Client’s behalf. Kanoony may, at its discretion, facilitate the payment process for certain government fees as a convenience (for example, by collecting the amount from you to pay a registry), but in all cases the responsibility for these fees rests with the Client. Kanoony will inform you in advance of any required third-party payments and may require payment before filing or submitting applications on your behalf.
7.3 Taxes. The Package fee excludes any taxes (unless specified). If any value-added tax (VAT) or similar indirect tax is applicable to the transaction, it will be added to your invoice and must be paid in addition to the base fee. Each party is responsible for its own income taxes or taxes based on its net income.
7.4 Out-of-Pocket Expenses. Certain services may involve out-of-pocket expenses (for example, courier fees, long-distance phone charges, translation costs beyond included pages, etc.). Kanoony will either incorporate such minor expenses into the package service at no additional cost or will seek your prior approval to pass them through at cost. Any approved additional expenses will be invoiced to you and due under the same payment terms.
8. Intellectual Property and Usage Rights
8.1 Kanoony Materials. All templates, documents, forms, guides, software, websites, and materials provided by Kanoony as part of the services ("Kanoony Materials") are the intellectual property of Kanoony or its licensors. Upon your purchase of a Package, Kanoony grants you a limited, non-exclusive, non-transferable license to use the Kanoony Materials solely for your internal business purposes and in accordance with these Terms.
8.2 Restrictions. You shall not copy, publish, resell, or distribute any Kanoony Materials to third parties (except for completing transactions or filings on your own behalf). For example, you may use a template contract with your clients or vendors in the normal course of business, but you may not resell Kanoony’s template as a product to others or upload our templates to the internet for public use. You also shall not remove any copyright, trademark, or proprietary notices from materials we provide.
8.3 You acknowledge and agree that any unauthorized use, infringement, or misappropriation of Kanoony’s intellectual property, including but not limited to its trade name and any registered or unregistered trademarks, shall entitle Kanoony to pursue all available legal remedies. These may include, without limitation, injunctive relief, monetary damages, and any other equitable or legal relief deemed appropriate under the applicable law.
8.4 Client Materials and Data. You retain ownership of any data, content, or documents you provide to Kanoony in the course of using the services ("Client Materials"). You grant Kanoony the necessary license and permissions to use, reproduce, and modify your Client Materials solely for the purpose of providing the services (for example, information you give us to prepare a license application or to customize a document template). Kanoony will handle Client Materials in accordance with applicable privacy laws and our privacy policy. You represent that you have the right to provide any personal or third-party data you supply and that doing so will not violate any laws or rights of others.
8.5 Feedback. If you provide Kanoony with feedback, suggestions, or ideas to improve our services, Kanoony may use such feedback without obligation to you, and you acknowledge that such feedback does not constitute confidential information or result in any ownership or license rights for you in any improvements made by Kanoony.
9. Disclaimers of Warranties
9.1 “As-Is” Service. Kanoony provides all services, information, and materials on an “as is” and “as available” basis, without any warranties of any kind, express or implied. To the fullest extent permitted by law, Kanoony disclaims all implied warranties including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, title, accuracy, or non-infringement. We do not guarantee that the services will meet your specific requirements, that any documentation or form provided is suitable for your particular situation, or that the results of using the service will be accurate, complete, or error-free.
9.2 No Guarantee of Outcomes. Kanoony makes no guarantee or warranty regarding the outcome or results of any process we assist you with. For example, we cannot guarantee that your company will be successfully registered by the government (as approval is at the discretion of authorities), that a visa will be granted (subject to government background checks and criteria), that a bank account will be opened (subject to UAE Central Bank circulars, regulations and requirements, and to banks internal regulations and requirements), or that a court or third party will accept a document drafted using our templates. Any timelines or descriptions provided are estimates and subject to change based on third-party actions.
9.3 No Legal Guarantee. Because we are not providing legal representation, we do not guarantee any particular legal result or the outcome of any legal matter. Use of our templates or guidance is at your own risk. Always review final documents for accuracy and appropriateness in accordance with the applicable laws and regulations. The Client is responsible for obtaining independent legal review of documents or advice, if needed, especially for high-value or complex matters.
9.4 Third-Party Information. Any information or advice obtained from third-party providers (including Independent Lawyers in consultations, or accountants, or any external experts introduced by Kanoony) is the responsibility of those providers. Kanoony does not warrant the accuracy or quality of third-party information or services. While we strive to work with qualified professionals, we are not liable for any errors or omissions in the information those third parties provide. 9.5 Technology and Availability. Kanoony will make reasonable efforts to ensure the availability and reliability of our digital platforms (website, AI tools, etc.). However, we do not warrant that the services willbe uninterrupted or free from technical issues. Temporary downtime or technical difficulties may occur (for example, for maintenance or due to network issues). We will try to minimize disruptions, but we are not liable for any unavailability of services or loss of data due to technical problems beyond our control. You are responsible for maintaining your own backups of any documents or data you input into Kanoony’s systems.
10. Limitation of Liability
10.1 Consequential Damages Exclusion. To the maximum extent permitted by law, Kanoony will not be liable to the Client for any indirect, incidental, special, consequential, or punitive damages whatsoever arising out of or relating to these Terms or the services provided, even if advised of the possibility of such damages. This exclusion includes (but is not limited to) damages for lost profits or revenues, business interruption, loss of business opportunity, loss of data, loss of goodwill, or the claims of third parties, even if such damages were foreseeable or if Kanoony has been advised of the possibility of such damages.
10.2 Liability Cap. To the fullest extent permitted by law, Kanoony’s total cumulative liability to you for any and all claims, liabilities, or damages arising out of or in connection with the provision of services under these Terms (whether in contract, tort, or otherwise) shall not exceed the total amount of fees actually paid by you to Kanoony for the Package during the twelve (12) month Term in which the event giving rise to the claim occurred. If the claim arises after the expiration or termination of the Package, then Kanoony’s liability shall not exceed the fee paid for the immediately preceding 12-month term.
10.3 Third-Party Liability. Kanoony shall have no liability for any actions or omissions of third parties, including government agencies, banks, external attorneys, or other service providers that are involved in delivering parts of the services or that you interact with through our facilitation. For example, if a government office loses your application or an independent attorney gives negligent advice, Kanoony is not responsible for those events (however, we encourage you to report any issues so we may assist in finding a remedy or alternative solution).
10.4 Indemnification by Client. You, as the Client, agree to indemnify and hold Kanoony (and its officers, directors, employees, and agents) harmless from any and all claims, liabilities, damages, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) your misuse of the services, templates, or materials, (b) your violation of any of these Terms, or (c) your infringement of any third-party rights or violation of law in the course of using Kanoony’s services. This means that if a third party sues Kanoony because of something you did (for example, you used a document template in an illegal manner or provided Kanoony with data you had no right to use), you shall be liable for any liabilities, damages, etc., incurred by Kanoony.
10.5 Application of Limitations. The limitations and exclusions of liability in this Section 10 apply to the fullest extent permitted by law. Some jurisdictions do not allow certain disclaimers or limitations (for example, incidental or consequential damages exclusions), so if any portion of these limitations is held to be unlawful or unenforceable, those specific provisions shall not apply to the extent of such prohibition but the rest of the liability limitations shall continue to apply. In no event will any limitations apply to liability that cannot be limited or excluded as a matter of law.
11. General Provisions
11.1 Governing Law and Jurisdiction. These Terms and any dispute or claim arising out of or in connection with the services shall be governed by and construed in accordance with the laws of the United Arab Emirates (UAE). The parties agree that the courts of the UAE (or, at Kanoony’s election, a specific jurisdiction within the UAE, such as the courts of Dubai) shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with this Agreement or its subject matter. Notwithstanding the foregoing, Kanoony reserves the right to seek injunctive or equitable relief in any jurisdiction to protect its intellectual property or confidential information.
11.2 Entire Agreement. These Terms, together with any Service Order, subscription agreement, or specific addendum referencing these Terms, constitute the entire agreement between the Client and Kanoony regarding the Package services. They supersede all prior or contemporaneous understandings, agreements, negotiations, representations, and proposals, whether written or oral, relating to the subject matter. No oral or written representation or warranty not expressly contained in these Terms is binding on either party.
11.3 Amendments. Kanoony may update or modify these Terms from time to time. In the context of an ongoing Package Term, we will not materially reduce your rights or the scope of services without your consent. Any changes to these Terms intended to apply to an ongoing Term will be communicated to you and, if required, your consent sought. Typically, updates will take effect upon renewal or purchase of a new Package. It is your responsibility to review any updated Terms at the time of renewal. Continued use of the services after changes are communicated constitutes acceptance of the modified Terms.
11.4 Severability. If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be deemed modified to the minimum extent necessary to make it enforceable (or, if that is not possible, severed entirely), and the remaining provisions of these Terms shall remain in full force and effect. Any invalid or unenforceable provision shall be enforced to the maximum extent permissible to effect the intent of the parties.
11.5 No Waiver. No failure or delay by Kanoony in exercising any right, power, or remedy under these Terms shall operate as a waiver of that right or remedy, nor shall any single or partial exercise of any right or remedy prevent or restrict the further exercise of that or any other right or remedy. To be effective, any waiver must be explicit and in writing.
11.6 Assignment. The Client may not assign or transfer any of its rights or obligations under these Terms without the prior written consent of Kanoony. Kanoony may assign, transfer, or subcontract its obligations and rights (in whole or in part) to an affiliate or in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets, provided that the assignment will not relieve Kanoony of its obligations to the Client if such obligations are not performed by the assignee.
11.7 Notices. Any formal notices or communications under this Agreement shall be in writing and shall be deemed to have been duly given when delivered personally, sent by courier, or sent by email (with proof of successful transmission) to the receiving party’s designated contact or legal representative. Kanoony’s contact for notice is [Contact Email/Address], and the Client’s contact shall be as provided in the Service Order or account information.
11.8 Force Majeure. Kanoony shall not be liable for any failure or delay in performing its obligations under these Terms if such failure or delay is caused by circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, civil disturbances, strikes or labor disputes, power or internet outages, pandemic or governmental restrictions, or other events of force majeure. In such event, Kanoony will use reasonable efforts to resume performance as soon as practicable.
11.9 Headings and Interpretation. Section headings in these Terms are for convenience only and do not affect the interpretation of any provision. Words in the singular include the plural and vice versa. “Including” means “including without limitation.”
11.10 Professional Advice. You acknowledge that Kanoony’s Packages are not a substitute for professional legal, accounting, or other advice tailored to your specific circumstances. You should seek independent professional advice as needed. You remain ultimately responsible for your compliance with all applicable laws and regulations.
12. Talk to a Lawyer Service
12.1 Service Disclaimer. The "Talk to a Lawyer" service included within Kanoony Packages is provided by CVML, a law firm registered in the Dubai International Financial Centre (DIFC). This service provides legal guidance and is intended for informational purposes only. It does not constitute legal advice, nor does it establish an attorney-client relationship. The outputs generated are for general informational purposes and should not be relied upon as a substitute for professional legal counsel. For specific legal issues or complex matters, the Client is advised to consult a licensed attorney separately or engage in a relationship with CVML on referral basis.
13. Compliance
13.1 Know Your Customer (KYC): The Client agrees to comply with all applicable KYC (Know Your Customer) requirements as requested by Kanoony or its affiliated service providers. This may include providing identification documents, corporate records, ownership disclosures, and any other relevant information to verify the identity and legitimacy of the Client and its beneficiaries. Kanoony reserves the right to withhold or suspend services until KYC requirements are satisfied to its reasonable satisfaction.
13.2 Anti-Money Laundering (AML)
The Client represents and warrants that it is not engaged in, nor will it engage in, any activity that could be construed as money laundering or financing of terrorism under UAE or international laws. Kanoony reserves the right to refuse, suspend, or terminate services immediately if there is reasonable suspicion that the Client’s activities involve money laundering, criminal proceeds, or other illicit conduct. Kanoony may also report suspicious activity to relevant authorities without notice or liability.
14. Non-solicitation
The Client undertakes that, during the term of engagement with Kanoony and for a period of twenty-four (24) months following the termination or expiry of this engagement, the Client shall not, without the prior written consent of Kanoony:
- Directly or indirectly solicit, entice, employ, engage, or attempt to engage any employee, agent, consultant, or representative of Kanoony;
- Except CVML, engage in any direct dealings or enter into any contractual or commercial relationship with any third party, vendor, supplier, or service provider who was introduced to the Client by Kanoony during the engagement.
By purchasing or using a Kanoony Service Package, you (the Client) acknowledge that you have read, understood, and agree to these Terms & Conditions. These Terms form a binding agreement between you and Kanoony regarding the provision and use of the services in your selected Package.
