Kanoony Terms of Use

1. Who We Are
kanoony is a subscription-based corporate and legal services provider. Think of us as your business partner or legal co-pilot on retainer: you pay us for our professional services, and any government fees or third-party charges are always paid by you directly. No mark-ups, no surprises — just full transparency and peace of mind.
These Terms & Conditions (“Terms”) apply to all services provided by Kanoony Corporate Services Providers L.L.C. (“kanoony”, “we”, “our”, or “us”) to you, the client (“you” or “the Client”). By using our services or subscribing to a package, you agree to these Terms.

2. Scope of Services
kanoony provides corporate, compliance, and business support services, including but not limited to:

• Company formation, renewals, and amendments
• Visa applications and renewals
• PRO services
• Corporate tax/VAT registration and filing (via third-party tax advisors if needed)
• Accounting and bookkeeping (via affiliates)
• Legal support services (via CVML and other affiliates)
• Bank account opening assistance
• Golden Visa and will registration
• Lawyer consultation
• Will registration
• Trademark registration
• Translation, notary, and related support

Where services are carried out by affiliates (e.g. accountants, tax advisors), kanoony coordinates the process but is not liable for their professional advice.

3. Fees and Payment

• Services begin once payment is received.
• Payments can be made by cash, bank transfer, cheque (UAE banks only), Cryptocurrency, or card (POS surcharge applies).
• Government fees and taxes are not included unless stated. Quotations and invoices will be provided as proof.
• Late or missed payments may lead to suspension of services and kanoony reserves a lien on documents until cleared.
  • Crypto Payments: We can accept payment in approved cryptocurrencies under the following conditions:
• A 5% surcharge applies to cover exchange rate movements, transaction fees, and related costs.
• Payments are accepted only for kanoony’s professional fees and related disbursements, not for safekeeping, custody, or managing client funds.
• All crypto payments are subject to AML clearance before acceptance. You must provide the payment amount, wallet address, and payor name.
• Payments are capped at AED 50,000, whether in a single transaction or through multiple linked payments.
• If this threshold is exceeded, you must provide a declaration of source of wealth and source of funds along with supporting documents before kanoony can proceed.

4. Refunds and Deposits

• Once a service has started, fees are generally non-refundable.
• Refunds apply only where non-performance is due to kanoony’s proven negligence.
• Refundable deposits must be claimed within 3 months; service fees within 12 months.
• No refund applies if you withdraw, fail to provide accurate information, or if an Authority rejects an application.

5. Term and Renewal

• Services are annual unless agreed otherwise.
• For package subscriptions, each term is 12 months. Unused services do not carry over to the next year.
• Renewal is not automatic for packages. You must renew before expiry to continue benefits.

6. Commitment & Cancellation

• Cancelling before 6 months triggers a penalty equal to 2 months of membership fees.
• Cancelling after 6 months triggers a penalty equal to 1 month of membership fees.
• Service Availability
• For annual packages, quantifiable services are unlocked quarterly:
  • 25% in the first quarter
  • 25% in the second quarter
  • 25% in the third quarter
  • 25% in the fourth quarter
• Unused services within each quarter expire at the end of that quarter and cannot be carried forward.

7. Client Responsibilities

You agree to:

• Provide complete and accurate information.
• Meet all KYC/AML requirements.
• Pay all government and third-party fees, if any, on time.
• Use kanoony materials (templates, AI tools, etc.) for your own business only.
• Limits of Our Responsibility
• kanoony is not liable for:
  • Decisions, delays, or errors by government authorities, banks, or third parties.
  • Consequential losses (lost profits, opportunities).
  • Any advice provided by independent lawyers, tax advisors, or accountants.
• kanoony’s liability is capped at the fees you paid to us in the 12 months before a claim.

8. Service Packages (Core, Pro, Elite)

If you subscribe to a kanoony Package, the following apply:

• Accounting & Bookkeeping (up to 20 transactions/year)
• 1 contract drafting and review / legal notice
• 12 hours of lawyer consultation split into sessions of 15mins each
• 24 legal templates

Pro package

• 2 company formations and renewal
• 4 company amendments
• 4 residence visa processing
• Bank account opening assistance
• Corporate tax registration & filing support
• VAT registration & filing support
• Accounting & Bookkeeping (up to 50 transactions/year)
• 24 hours of lawyer consultations split into sessions of 15mins each
• 4 contracts drafting and review/legal notice
• 48 legal templates
• 12 pages of legal translation

Elite package

• 4 company formations and renewal
• Unlimited company amendments
• 12 residence visas processing
• Bank account opening assistance
• Corporate tax registration & filing support
• VAT registration & filing support
• Accounting & Bookkeeping (up to 100 transactions/year)
• 72 hours of lawyer consultations split sessions of 15mins each
• 12 contracts drafting and review/legal notice
• 1 will drafting & registration
• 48 pages of legal translation
• Unlimited legal templates
• 4 hours of compliance assistance and support (AML/ESR/etc…)
• 1 notary public appointment
• Marhaba service (Airport pick up/drop off and more)

Out of Scope: Any service not listed, or beyond included limits, will be charged separately at kanoony’s standard rates.

9. AI Tools and Legal Support Disclaimer

• kanoony is not a law firm. We do not provide legal representation.
• Access to AI tools (“AI Pocket Lawyer”) is for general information only.
• Consultations are short, informational, and do not create an attorney-client relationship.
• Independent lawyers are third-party providers. kanoony is not responsible for their advice.

10. Intellectual Property
All kanoony materials (templates, guides, AI tools, etc.) remain kanoony’s property. You may use them for your business but may not resell, distribute, or publish them.

11. Compliance

• We apply strict KYC and AML checks. Services may be suspended if you fail to comply.
• kanoony follows anti-bribery and anti-corruption standards. Breach may result in termination.

12. Governing Law and Disputes

These Terms are governed by UAE law.

• For unpaid fees, kanoony may proceed directly in Dubai Courts or another competent court.

13. Force Majeure

We are not liable for delays caused by events outside our control (e.g. natural disasters, pandemics, government actions, strikes, or technical failures).

14. Entire Agreement

These Terms, along with your service order or package subscription, are the entire agreement between you and kanoony. Updates may be made from time to time and will be notified to your registered email.
